draw using shape tool for the box, then use stroke for the outline.
Text need not be explain

Then use a layer(image) with those "scratches" then change it's blending mode etc.
So you need to find a image with those scratches or make one.

simple....type ur text, double click its layer...click bevel and emboss and adjust the settings.

do e same 4 e box/border if u wana.

den rasterize those layers and choose a nice grunge brush/fractial brush and erase away.

those brushes can b found at deviantart =p

It's a grunge type design.

For fonts you can download them free from dafont.com
eg. http://www.dafont.com/theme.php?cat=107

As for the scratches on the outer box just use a brush to erase it, or find grunge brushes online to create the scratchy, rusty feeling.
